Our Corporate lawyers work with our clients to assist in the design of new securities.

We represent companies of all sizes, and have been especially active in the energy, energy services, energy transportation, telecommunications, media and computer (hardware and software) service industries in recent years. Additionally, we have deep experience in representing industry leaders in complex outsourcing and technology transactions. We also handle a variety of international business transactions on behalf of many domestic and international clients.

Our lawyers also have extensive experience in private equity and venture capital fund transactions and specialized financings in both domestic and international contexts. In addition, we work on complex business restructurings, both in and outside of court-supervised bankruptcy proceedings.

In addition, we regularly represent special committees of the boards of publicly held companies and, together with our trial lawyers, conduct a broad range of internal investigations, including those relating to compliance with the federal securities laws enforced by the Securities and Exchange Commission.
