Committee Representation

Overview

Baker Botts has been actively involved for many years in representing and advising committees established by boards of directors of public companies.

These engagements include primarily:

  • Representing special committees of independent board members created to review, negotiate, and approve a proposed business transaction between a public company and a controlling shareholder, a director, or management
  • Representing audit and other board committees investigating and reporting on particular problems or alleged misconduct by company officials or employees and responding to shareholder litigation demands
  • Representing special litigation committee formed to evaluate and oversee potential litigation against company directors and officers

Our corporate and trial lawyers advise numerous special committees of the boards of publicly held companies and conduct a broad range of internal investigations, including investigations relating to the new regulatory requirements in the post–Sarbanes-Oxley environment.
