Overview

Anna Irion is a Houston energy attorney who focuses on transactional matters in the energy industry. Anna represents clients spanning the energy sector, including natural gas gatherers, processors, and producers, crude oil transporters and producers, produced water gathering and disposal companies, interstate and intrastate natural gas pipelines, carbon producers and carbon capture, transportation, and sequestration providers, storage and terminaling operators, service providers, and investors, as well as data centers in acquiring natural gas for the self-generation of power. Anna has substantial experience in negotiating, drafting, and restructuring the following: oil, gas, and water dedication and minimum volume commitment gathering agreements; gas processing agreements; crude oil transportation, storage, terminaling, and throughput and deficiency agreements; CO2 transportation and sequestration agreements; produced water gathering and disposal agreements; interconnection agreements; E&P and midstream asset purchase and sale agreements; interstate and intrastate pipeline project agreements and associated documents.

In addition to negotiating and drafting the above, Anna works with many clients in restructuring volume and other financial commitments in existing agreements to address operations in the continually evolving energy climate. By collaborating with the upstream, midstream, and downstream parties, she has helped her clients reach amicable solutions in lieu of facing litigation.

Among her mergers and acquisition experience, she has represented buyers and sellers in the acquisition and divestiture of upstream and midstream crude oil and natural gas assets in several states, including Texas, Louisiana, Montana, Oklahoma and other states, as well as assisted clients with Federal and State regulations relating to the construction and operations of facilities and related filings.

Anna's ultimate goal for each transaction is get it to the finish line in the most time and cost-efficient manner possible. By discussing the clients' needs, wants, and ultimate goals at the very beginning stages of a project, she and her clients begin the process in an ideal position for moving the transaction along smoothly. Throughout the process, Anna consistently reassesses the client's needs to ensure that all of the parties are communicating and are on the same page and that she and her clients have the opportunity to determine whether the original plan of action is the best avenue to achieve the desired outcome.

Experience

  • Represented a hyperscale data center in the negotiation of construction, transportation, and supply contracts for the generation of onsite power at two campuses, including pipeline construction, interconnection, natural gas transportation natural gas purchase and operating agreements, and provided regulatory and risk allocation analyses in connection with those vendor contracts.
  • Represented refined oil products pipeline company in the development of a refined products marine supply project, including the negotiation and drafting of interconnection agreements, a terminaling agreement, pipeline modification agreements, pipeline lease agreements, a pipeline operating agreement, pipeline bypass agreements, and applicable tariffs.
  • Represented tribal-owned natural gas gathering and treating company in the negotiation and execution of various gas gathering and treating agreements and in the renegotiating of numerous, long-term minimum volume commitment gathering agreements in order to assist producers in avoiding breaches of commitment obligations.
  • Drafted and negotiated minimum volume commitment transportation services agreement and assisted with open season publication on behalf of crude oil, refined products, liquefied petroleum gases, natural gas liquids, and chemical feedstocks pipeline.
  • Represented exploration and production company in dedication dispute following acquisition of large acreage package and associated dedicated interests.
  • Represented natural gas and natural gas liquids midstream company in negotiating and executing 311 Transportation Services Agreements and related interconnection agreements.
  • Reviewed and summarized dozens of gas purchase and sale agreements and NAESB Contracts on behalf of energy suppliers in connection with litigation following Winter Storm Uri.
  • Negotiated and drafted ethylene pipeline construction and transportation services agreement and applicable local tariffs on behalf of pipeline and plastics manufacturing facilities owner and operator.
  • Represented liquids terminaling company in the negotiation and drafting of terminaling services agreements and related interconnection agreements and rail offloading agreements.
  • Negotiated and drafted railcar storage and services agreement on behalf of transloading terminal owner and operator.
  • Represented pipeline owner in negotiating and drafting long-term pipeline lease agreement providing for operatorship of pipeline and purchase right of first refusal.
  • Drafted and negotiated ten-year transportation agreement and the necessary regulatory filings for the interstate transportation of crude oil in North Dakota.
  • Represented client in all pre and post-closing stages in the acquisition of 18,000 net acres in Houston and Madison Counties, Texas for $720 million which included 30 square miles of 3-D seismic data, a salt water disposal system, 36 net producing wellbores, and 136 proved undeveloped drilling locations.
  • Counsel for client in all phases of the sale of its three subsidiary companies and Oklahoma assets (which included treating and compression facilities, three cryogenic processing plants, and 66 miles of gathering pipelines) for $600 million. Prior to the sale, drafted and negotiated related gathering and processing agreements.
  • Represented client in all phases of the sale of substantially all of its natural gas gathering assets (which included both rich and lean systems) in South Texas for approximately $215 million.
