Baker Botts Represents Arcosa in $8.5 Billion All-Cash Sale to CRH
DALLAS, June 22, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented Arcosa, Inc. (NYSE: ACA) as board governance and securities counsel in its sale to CRH (NYSE: CRH) for approximately $8.5 billion in an all-cash transaction.
Arcosa, headquartered in Dallas, Texas, is a provider of infrastructure-related products and solutions with leading positions in construction materials and engineered structures. The offer implies a 25% premium to Arcosa’s 60-day volume-weighted average trading price as of June 18, 2026.
Arcosa’s Construction Products business spans 109 quarries and yards, nine asphalt plants and 19 terminals, with roughly 35 million tons of aggregates shipped in 2025. Its Engineered Structures business is a top three manufacturer of critical infrastructure products for the energy transmission market.
The boards of both companies approved the transaction unanimously. The deal is expected to close in the first quarter of 2027, subject to Arcosa shareholder approval, regulatory approvals and customary closing conditions. CRH plans to fund the purchase with available cash and committed debt financing.
