Overview

Iain McPhie is Special Counsel in the Antitrust and Competition practice of the Baker Botts Washington, D.C. office. He has more than twenty years of experience representing clients in a broad variety of antitrust matters, from bet-the-company litigation to complex merger reviews and investigations. Iain has deep experience in healthcare antitrust, representing health plans, hospitals, physician practices, PBMs, home health providers and other health-care clients in navigating private government merger reviews and other investigations at both the federal and state levels. Iain also has extensive experience in the technology, manufacturing, food and drug, transportation, and chemicals sectors.

Transactions & Counseling

  • Representing a major healthcare company in connection with an investigation by the FTC and numerous state attorneys general of a multi-billion-dollar acquisition of a provider of home health and hospice services in 37 states.
  • Representing the same client in a subsequent acquisition of a second nationwide provider of home health and hospice services, resulting in litigation with DOJ that was successfully resolved with a complex settlement involving multiple divestiture transactions.
  • Representing a healthcare technology company in connection with a DOJ investigation of a several hundred-million-dollar sale to a competitor, involving full compliance with a DOJ Second Request and clearance with no relief sought.
  • Representing a healthcare company in multiple acquisitions of multi-state physician practice groups involving in-depth merger reviews and compliance with Second Requests with no relief sought.
  • Representing a PBM and pharmacy client in an acquisition of long-term care pharmacies in 26 states involving Second Request compliance with no relief sought.
  • Representing a large hospital system in multiple acquisitions of competing hospitals and other providers involving in-depth merger reviews.

  • Representing a South American air carrier in multiple DOJ criminal price-fixing investigations involving air cargo and air passenger services.
  • Representing a leading non-U.S. steel producer in private antitrust litigation challenging the exclusionary practices of a competitor.
  • Representing a major sports franchise and its affiliated ticketing company in private litigation alleging antitrust violations against a competing ticketing company.
  • Representing a major healthcare company in an investigation by the New York Attorney General office resulting in a negotiated resolution involving health plan contracting and long-term care services.
