Overview

Paul Lugard is a partner in the Brussels office of Baker Botts and a member of the firm's antitrust and competition practice. Paul has practiced in the international competition law field for more than 25 years and concentrates on multi-jurisdictional and complex merger control, FDI and FSR proceedings, as well as investigations into alleged anticompetitive business practices.

His experience covers joint ventures, minority investments, and strategic cooperation agreements in the energy and high-tech sectors. This includes work at the intersection of antitrust and intellectual property law, such as standardization and SEP/FRAND licensing arrangements.

Paul has assisted clients in oil and gas, LNG, human and animal health, consumer electronics, fast moving consumer goods, medical imaging, mobile telecommunications and in various online and platform-based industries.

Paul was a senior vice president and the Head of Antitrust at Royal Philips Electronics from 2005 until 2012.

Paul is active in the development of international competition policy. He is a past Chair of the ICC Competition Commission, has served for more than two decades as a European Commission Non-Governmental Advisor (NGA) to the International Competition Network (ICN) and as Vice Chair of the Business and Industry Advisory Committee (BIAC) to the OECD.

Paul graduated in law in 1989 from the University of Groningen, the Netherlands and in 1990 from the College of Europe in Bruges, Belgium.

He speaks Dutch, English, French and German.

Mergers, FDI & FSR

  • EU and international merger and FDI approvals in relation to M&A transactions in the oil and gas sector, including Cases M. 7429 (Dresser Rand), 7477 (Halliburton), M. 11752 (Ethos Energy)
  • Saudi Basic Industries Corporation (SABIC) in the acquisition of Saudi Iron and Steel Company (Hadeed) and Al Rajhi Steel to the Public Investment Fund (PIF)
  • Royal Philips Electronics in a large number of acquisitions, joint ventures and divestments, including Cases M. 2236 (LG Electronics), M. 2537 (Marconi Medical Systems), M. 4300 (Intermagnetics) and M. 5547 (Saeco)*
  • Shell in its attempted acquisition of Eneco, a Dutch energy supply company

Litigation & Arbitration

  • Representing CCIA as an intervenor in Case C-738/22 Google v Commission (“Google Android”)
  • Represented FedEx in follow-on damage claims in relation to the truck manufacturer cartel
  • Represented Carlsberg in follow-on damage litigation involving alleged exclusionary conduct by Heineken
  • Represented Ryanair in litigation involving EU law
  • Representing A.P. Moller – Maersk A/SA in its appeal against a decision of the Georgian competition authority
  • Represented Ericsson in ICC arbitration involving FRAND licensing and unfair and excessive pricing claims
  • Represented a MENA-based national oil and gas company in ICC arbitration involving LNG price revisions, profit sharing mechanisms and related conduct

Investigations

  • Represented an international Indoor Skydiving company in EC antitrust investigations involving claimed anti-competitive IP-related conduct
  • Represented Pharmacosmos in antitrust damage litigation and complaints against CSL Vifor in Case: AT.40577 – Vifor (IV iron products) involving anticompetitive disparagement
  • Represented a national oil and gas company in Case AT. 40416 regarding restrictions imposed by Qatar Petroleum on liquefied natural gas (LNG) supply to Europe
  • Represented SEP-owners in investigations into standardization, SEP / FRAND licensing and patent pools

Counselling

  • Sempra LNG in respect of the Port Arthur liquefaction project Phase I and II
  • MSD (Merck Sharp & Dohme) Animal Health on a variety of matters involving the European competition rules
  • LNG companies on LNG sales and gas supplies
  • A leading global natural gases company on hydrogen and ammonia offtake agreements
