Overview

Natasha Gandhi is a Special Counsel in Baker Botts’ Corporate practice. She advises clients on a variety of complex corporate and transactional matters, including mergers, acquisitions, dispositions, joint ventures, private equity investments, venture capital investments, commercial and strategic transactions, tax equity financings of renewable energy projects, corporate governance, and general corporate matters. Natasha has broad experience across industries, including in the energy, manufacturing, technology, and life sciences sectors.

Prior to her legal career, Natasha worked for a Big Four accounting firm, performing valuation analysis of equity and intangibles for financial, tax, and acquisition purposes.

Joint Ventures, M&A and Private Equity

  • Sempra Infrastructure Partners in connection with the development of the Port Arthur LNG Phase 2 project in Jefferson County, Texas, including its final investment decision (FID) to proceed with the project, and a sale of a 49.9% minority interest
  • Sempra Infrastructure Partners in connection with the development of the Port Arthur LNG Phase 1 project in Jefferson County, Texas, including its final investment decision (FID) to proceed with the project, and a joint venture transaction involving the sale of a minority interest in the project to an affiliate of ConocoPhillips
  • Terra Aggregates LLC, a global cement and building materials distributor, in its joint venture transaction with Buzzi Unicem USA, for developing a cement terminal with a capacity of 2 million metric tons of cement and cementitious materials per annum in Beaumont, Texas
  • Freedom Fuel, LLC, in its sale of a majority interest in Freedom CNG, an owner and operator of compressed natural gas (CNG) and renewable natural gas (RNG) fueling infrastructure in Texas, to Apollo-managed funds
  • Lapis Energy, LP in the formation of a joint venture with a subsidiary of Denbury, Inc. for the establishment of a carbon capture sequestration facility
  • Verogy Holdings, LLC, a leading, vertically integrated solar developer, in the sale of a minority stake in its business to a fund managed by CarVal Investors, L.P., and a joint venture involving the potential acquisition of up to 500 megawatts of solar and battery storage projects throughout the United States
  • DXC Technology in its carveout sale of its Microsoft Dynamics business units to sa.global
  • Fluor Corporation, an engineering and construction firm, in its carveout acquisition of the overland conveyor products group business from Denmark based FLSmidth & Co. A/S
  • Fengate Asset Management in its acquisition of an equity interest in Freeport Power Limited, which owns a 440-megawatt cogeneration facility in Texas
  • GFH Financial Group, a Bahrain-based investment bank, in several acquisitions and syndications of U.S. multi-family and commercial real estate portfolios
