Overview

Jonice Cline has spent nearly 20 years in the energy industry, primarily as a lead corporate counsel for a large publicly traded energy company. Jonice's practice is focused on oil, gas, and liquified natural gas transactions with an emphasis on midstream and gas supply. Jonice also provides strategic legal guidance to management teams, boards, and investors in the energy arena. As a member of the firm's Global Projects department, Jonice counsels public and private energy clients on long-term complex transactions with significant experience across the entire oil and gas value chain from the wellhead to offtake arrangements, including upstream development agreements, joint venture arrangements, acquisition and divestiture activities, and various midstream and downstream transactions.

  • Sempra LNG – project development counsel to Sempra LNG in respect of the Port Arthur LNG Liquefaction project, including negotiation of gas supply, transportation agreements and gas management agreements
  • Represented Ammonia project in long term gas supply and transportation construction in conjunction with project development
  • Represented various Producers in virtually all active oil and gas basins in the US negotiating crude oil, natural gas liquids, and natural gas gathering and processing contracts, long-term natural gas supply arrangements, carbon sales agreements, transportation and connection agreements (including FERC regulated lines), asset management agreements, and NAESB sales contracts including transactions in Louisiana, Texas, New Mexico, Pennsylvania, Wyoming, and Oklahoma
  • Represented upstream exploration and production company in sale of midstream gathering assets
  • Represented client in acquisition of upstream producing Haynesville assets
