Baker Botts Advises Special Committee of LandBridge on Conversion and Redomestication to Texas

HOUSTON, August 5, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, advised the Special Committee of the Board of Directors of LandBridge Company LLC (NYSE: LB; NYSE TX: LB) on the company’s planned conversion and redomestication from a Delaware limited liability company to a Texas corporation.

The Special Committee approved the conversion and redomestication and recommended it to the LandBridge Board of Directors, which unanimously approved it.

Baker Botts also advised a separate conflicts committee on LandBridge’s planned acquisition of approximately 560 acres underlying the Northern Delaware Basin environmental waste management facility in Lea County, New Mexico. The transaction includes a long-term agreement governing the facility’s use of the property.

The acquisition is expected to close in the third quarter of 2026, concurrently with WaterBridge Infrastructure LLC’s acquisition of the facility. The transaction is subject to customary closing conditions and required consents and approvals.
