HOUSTON, July 15, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented Superior Energy Services, Inc. (“Superior”) in a private offering by its wholly owned subsidiary, SESI, L.L.C., of $200 million in aggregate principal amount of 7.875% Senior Secured Notes due 2030 (the “New Notes”).

The New Notes were issued under the indenture dated as of October 9, 2025 (as may be amended or supplemented from time to time, the “Indenture”), pursuant to which Superior previously issued $775 million aggregate principal amount of 7.875% Senior Secured Notes due 2030 (the “Existing Notes”). The New Notes and the Existing Notes will be treated as a single class of securities under the Indenture.

The offering priced on July 7, 2026, and the New Notes were issued on July 14, 2026 at 100.5% of par. The net proceeds from the offering are intended to fund the cash consideration for Superior’s acquisition of Sonic Holdings, LLC. Baker Botts served as legal counsel to Superior in connection with the Sonic acquisition.
