HOUSTON, June 25, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented Oceaneering International, Inc. (NYSE: OII) in connection with its private offering of $500 million aggregate principal amount of 6.875% Senior Notes due 2034 and concurrent cash tender offer for any and all of its outstanding 6.000% Senior Notes due 2028.

The notes were sold to qualified institutional buyers under Rule 144A and to non-U.S. persons outside the United States under Regulation S. The notes offering priced on June 24, 2026 and is expected to close on or about July 6, 2026. J.P. Morgan Securities LLC, Citigroup Global Markets Inc. and DNB Carnegie, Inc. are acting as joint book-running managers.

The tender offer expires on June 30, 2026, and is expected to settle on or about July 6, 2026. J.P. Morgan Securities LLC is acting as the dealer manager for the tender offer.

Oceaneering will use the net proceeds, together with cash on hand if necessary, to fund the purchase of its outstanding 6.000% Senior Notes due 2028 tendered and accepted in the concurrent tender offer. Any remaining proceeds will go to general corporate purposes, which may include the repayment, redemption or repurchase of outstanding indebtedness.
