HOUSTON, April 8, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, advised Morgan Stanley as underwriter in the pricing of a secondary public offering of common units of Mach Natural Resources LP (NYSE: MNR), with an aggregate offering price to the public of approximately $117.45 million.

The offering consists of 9,000,000 common units representing limited partner interests in Mach sold by VEPU Inc., Simlog Inc., and Sabinal Energy Operating, LLC at a public offering price of $13.05 per unit. Mach did not sell any common units in the offering and will not receive any proceeds.

The selling unitholders granted the underwriter a 30-day option to purchase up to an additional 1,350,000 common units. The offering is expected to close on April 8, 2026, subject to customary closing conditions.

Mach Natural Resources LP is an independent upstream oil and gas company focused on the acquisition, development, and production of oil, natural gas, and NGL reserves. The company operates a diversified portfolio across the Anadarko, Permian, and San Juan Basins.
