HOUSTON, April 23, 2026 - Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented Helix Energy Solutions Group, Inc. (“Helix”) (NYSE: HLX) in its definitive agreement to combine with Hornbeck Offshore Services, Inc. (“Hornbeck”) in an all-stock transaction.

The combined company will operate under the Hornbeck Offshore Services name and trade on the New York Stock Exchange under the ticker symbol “HOS”.  The transaction is expected to close in the second half of 2026, subject to approval by Helix shareholders, applicable regulatory approvals and other customary closing conditions.

Helix Energy Solutions Group, Inc., headquartered in Houston, Texas, is an international offshore energy services company that provides specialty services to the offshore energy industry, with a focus on well intervention, robotics and decommissioning operations.
