HOUSTON, December 18, 2025 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented TAE Technologies, Inc. (TAE) in the signing of a definitive merger agreement with Trump Media & Technology Group Corp. (Nasdaq, NYSE Texas: DJT) (TMTG). The deal would create one of the world’s first publicly traded fusion energy companies in a transaction valued at more than $6 billion.

The deal joins TAE’s more than 25 years of fusion reactor development with TMTG’s access to significant capital. Fusion power plants are expected to support growing power demand and provide abundant, dependable electricity to fuel AI development and America’s energy security.

Upon closing, Trump Media & Technology Group will be the holding company for Truth Social, Truth+, Truth.Fi, TAE, TAE Power Solutions and TAE Life Sciences, among others.

The transaction is expected to close in mid-2026, subject to shareholder and regulatory approvals. Barclays served as financial advisor to TAE.
