Deal Description: On July 31, 2025, CenterPoint Energy, Inc. (NYSE: CNP) (“CenterPoint Energy”) announced the closing of its private offering and sale of $1,000,000,000 aggregate principal amount of its 3.00% Convertible Senior Notes due 2028 (the “Convertible Notes”) to eligible purchasers pursuant to Rule 144A under the Securities Act of 1933, as amended. The Convertible Notes are senior, unsecured obligations of CenterPoint Energy and will mature on August 1, 2028, unless earlier converted or repurchased.

CenterPoint Energy intends to use the net proceeds from the offering for general corporate purposes, including the repayment of a portion of its outstanding commercial paper and other debt.
