DALLAS, September 10, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented BKV Corporation (NYSE: BKV) in its private offering of $500 million aggregate principal amount of 1.625% Convertible Senior Notes due 2031.

The offering was upsized to $500 million from the original offering size of $400 million. The notes will mature on Oct. 15, 2031. The offering priced on Sept. 9, 2026 and is scheduled to close on Sept. 14, 2026, subject to customary closing conditions. BKV granted the initial purchasers an option to purchase up to an additional $75 million aggregate principal amount of notes.

BKV intends to use a portion of the net proceeds from the offering to fund the cost of capped call transactions and approximately $35 million to repurchase shares of its common stock in connection with the offering. The company intends to use the remaining net proceeds for general corporate purposes, including the repayment of outstanding indebtedness and capital expenditures.
