HOUSTON, July 27, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented the initial purchasers, led by TD Securities (USA) LLC, in the $650 million private offering of senior notes by Howard Midstream Energy Partners, LLC.

Howard Energy priced the offering of $650 million aggregate principal amount of 6.625% Senior Notes due 2035 on July 22, 2026, and closed the offering on July 27, 2026. The notes were offered and sold in a private placement pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended. The notes mature on Jan. 15, 2035, were issued at par and are guaranteed by certain subsidiaries of Howard Energy.

Howard Energy intends to use the net proceeds from the offering to repay a portion of the outstanding borrowings under its revolving credit facility and to pay fees and expenses associated with the offering. Any excess proceeds will be used for general corporate purposes.
