Mendoza advises public and private companies, private equity firms, portfolio companies, boards of directors, compensation committees, and executive teams on a broad range of executive compensation and employee benefits matters. His work spans tax, securities law, corporate governance, and disclosure considerations associated with these arrangements.

Mendoza joins from Vinson & Elkins, and his practice focuses on compensation and benefits issues arising in complex transactions, including mergers and acquisitions, joint ventures, initial public offerings, private offerings, reorganizations, restructurings, and SPAC and de-SPAC transactions, both domestic and international. He also advises on the design, negotiation, and implementation of equity- and cash-based incentive arrangements, employment and severance agreements, change-in-control and retention programs, and deferred compensation arrangements.
