Baker Botts Advises Hansa Biopharma on U.S.$30 Million Convertible Note Financing

LONDON, 26 March 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, advised Hansa Biopharma AB (Nasdaq Stockholm: HNSA) on its U.S.$30 million cross-border convertible note financing with certain funds managed by Athyrium Capital Management, drawing on the firm’s expertise in complex international capital markets transactions in the life sciences sector.

The financing, comprising unsecured convertible senior notes maturing in 2031, was structured at a premium to market and provides Hansa Biopharma with additional capital to advance its pipeline, extend its runway into mid-2027, and support its planned U.S. launch of imlifidase, subject to approval. 

Baker Botts advised the company on the U.S. securities law aspects of the transaction. The team included partner Patrick Lyons and senior associate Amy Rees in London, and partner Geoff Newton in Houston. 

The firm worked alongside Advokatfirman Vinge KB, which acted as Swedish counsel to the company. Other advisors to the transaction included Paul Hastings LLP and Mannheimer Swartling Advokatbyrå AB for Athyrium.
