DALLAS, March 16, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented BKV Corporation (NYSE: BKV) in an underwritten public offering of 9,692,089 shares of its common stock. The base offering generated gross proceeds of approximately $261.7 million, before deducting the underwriter’s discounts and commissions and estimated offering fees and expenses.

The offering priced on March 10, 2026 and was comprised of 5,550,000 shares sold by BKV and 4,142,089 shares sold by the selling stockholder, Bedrock Energy Partners, LLC. BKV granted the sole underwriter, RBC Capital Markets, LLC, a 30-day option to purchase up to an additional 1,453,813 shares on the same terms and conditions, which was exercised in full prior to closing on March 12, 2026. Including the exercised option shares, the offering generated gross proceeds of approximately $300.9 million, before deducting the underwriter’s discounts and commissions and estimated offering fees and expenses.

BKV intends to use its net proceeds for general corporate purposes, including working capital, operating expenses, and capital expenditures. BKV did not receive any of the proceeds from the sale of the shares of common stock by the selling stockholder.
