Baker Botts Represents CVR Energy, Inc. in Private Placement of $1 Billion of Senior Notes

HOUSTON, February 12, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented CVR Energy, Inc. (“CVR Energy”) (NYSE: CVI) in a $1 billion private offering of senior unsecured notes. CVR Energy priced its offering of $600 million in aggregate principal amount of 7.500% senior unsecured notes due 2031 and $400 million in aggregate principal amount of 7.875% senior unsecured notes due 2034 on January 29, 2026. Both series of notes were issued at par and mature on February 15, 2031 and February 15, 2034, respectively. The offering was made to eligible purchasers pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended. The offering closed on February 12, 2026.

CVR Energy intends to use the net proceeds from the offering, together with cash on hand or borrowings under its revolving credit facility, to repay all outstanding principal under its senior secured term loan facility, redeem all of its outstanding 8.500% senior notes due 2029, and redeem $217 million aggregate principal amount of its outstanding 5.750% senior notes due 2028.

Headquartered in Sugar Land, Texas, CVR Energy is a diversified holding company primarily engaged in the petroleum refining and marketing businesses, as well as in the nitrogen fertilizer manufacturing business through its interest in CVR Partners, LP.
