SAN FRANCISCO, January 20, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, counseled Playlist, the parent company of Mindbody, ClassPass, and Booker, on tax and structuring aspects in connection with a definitive agreement to merge with Germany-based EGYM, a global leader in data-driven fitness technology. 

The transaction values the combined enterprise at $7.5 billion and includes $785 million in new equity investments. The transaction was announced on January 15, 2026. The transaction is expected to close subject to regulatory approvals and customary closing conditions.
