DALLAS, January 9, 2026 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, represented Clearway Energy Operating LLC in a $600 million private offering of senior notes.

Clearway Energy Operating LLC ("Clearway Operating"), a subsidiary of Clearway Energy, Inc. (NYSE: CWEN, CWEN.A), priced its offering of $600 million aggregate principal amount of 5.750% Senior Notes due 2034. The offering is expected to close on January 13, 2026, subject to customary closing conditions. The offering was made to eligible purchasers pursuant to Rule 144A and Regulation S under the Securities Act of 1933, as amended.

Clearway Operating intends to allocate an amount equal to the net proceeds from the offering to finance or refinance certain indebtedness, in part or in full, and acquire assets meeting certain renewable energy generation and storage eligibility criteria. Specifically, Clearway Operating intends to use the net proceeds to repay borrowings outstanding under its revolving credit facility and for general corporate purposes.

Clearway Energy, Inc. is one of the largest owners of clean energy generation assets in the United States, with approximately 12.7 gigawatts of gross capacity in 27 states.
