HOUSTON, December 3, 2025 – Baker Botts L.L.P., a leading international energy, technology, and life sciences law firm, advised BKV Corporation (NYSE: BKV) on its $156 million underwritten public offering of 6,000,000 shares of common stock at a price of $26.00 per share.

The transaction also includes a 30-day option granted to the underwriters to purchase up to an additional 900,000 shares from BKV at the public offering price, less underwriting discounts and commissions. The offering is expected to close on Dec. 3, 2025, subject to customary closing conditions.

BKV intends to use the net proceeds, together with cash on hand, to fund the cash consideration for its previously announced acquisition of a controlling interest in BKV-BPP Power, LLC and related expenses and pending such acquisition, or in the event it does not close, for general corporate purposes. 

Citigroup, Barclays, and Mizuho acted as joint book-running managers for the offering along with RBC Capital Markets, Evercore ISI, and Jefferies. Citizens Capital Markets, KeyBanc Capital Markets, Pickering Energy Partners, and CIBC Capital Markets acted as co-managers.
