(the “Company”) (NYSE: RIG) commenced an “at-the-market” equity distribution program and entered into an Equity Distribution Agreement with Morgan Stanley & Co. LLC, as sales agent, pursuant to which the Company may offer and sell, from time to time, the Company’s shares having an aggregate offering price of up to $435,000,000.
