Kelly Rose handles a wide range of corporate and securities matters. She counsels clients on an ongoing basis on a full range of governance issues, including fiduciary duties, board leadership and succession, board self-assessments, and compliance with regulatory and listing rule requirements.
Ms. Rose also advises companies on mergers and acquisitions, including negotiated acquisitions and divestitures, tender offers, exchange offers and corporate reorganizations. In addition, she counsels clients on an ongoing basis on disclosure issues, compliance with federal securities laws, state corporate law issues and general corporate concerns.
In the securities area, Ms. Rose represents issuers, investment banking firms and investors, as well as selling stockholders, in public offerings and private placements of equity and debt securities, including initial public offerings, follow-on and secondary public offerings, 144A offerings and venture capital financings.
Ms. Rose is a member of the firm’s Executive Committee, a fellow of the American College of Governance Counsel and an appointed member of the Corporate Laws Committee of the Business Law Section of the American Bar Association. The Corporate Laws Committee has jurisdiction over the Model Business Corporation Act, which is followed in whole or in part by a majority of states.
