Laura McDaniels has nearly twenty years of experience advising private and public companies on compensation and benefits matters. She helps clients navigate the complex interaction of tax, securities, human resource and other considerations that arise with employee compensation arrangements.
Laura counsels companies at all stages of their life cycle, from startups to multinational corporations, on both day-to-day matters and transformative events. She also advises boards of directors, individual executives and investors.
A significant portion of Laura's practice focuses on the compensation and benefits aspects of mergers and acquisitions, spin-offs, joint ventures and other complex transactions. She also has deep experience designing equity-based incentive arrangements for emerging growth and pre-IPO companies, including LLCs and other pass-through entities.
Having practiced law in Silicon Valley for her entire career, she has extensive experience working with technology companies (including SaaS, biotech, medical device, fintech) and their investors.
Prior to joining Baker Botts, Laura practiced for over a decade at another international law firm in its Palo Alto office. She began her legal career as a corporate attorney with a Bay Area based firm.
