Overview

Drew Lucarelli is a Special Counsel in Baker Botts’ Antitrust and Competition practice in Washington, D.C. Drew has represented companies in a wide range of industries in bet-the-company civil and class-action litigation, mergers before the Federal Trade Commission, Department of Justice, and foreign enforcers, and civil and criminal government investigations.

In addition to his antitrust experience, Drew has experience representing clients in securities, commercial, white-collar and intellectual property litigation.

  • Representing major grocer and distributor in asserting antitrust claims in multi-district litigations directed to multi-billion-dollar consumer sectors.
  • Representing leading provider of safety and survivability products in class action litigation al.
  • In re Cathode Ray Tube (CRT) Antitrust Litigation, MDL No. 1917 (N.D. Cal.). Represented multinational corporations in all aspects of opt-out and class action cases alleging price fixing claims under the Sherman Act and state competition-related laws.
  • Continental Automotive Systems, Inc. v. Avanci, LLC, et al., (N.D. Tex.). Successfully defended leading technology company in antitrust suit alleging antitrust violations for agreements not to license on FRAND basis and attempt to monopolize under the Sherman Act.
  • In re Optical Disk Drive (ODD) Antitrust Litigation, MDL No. 2043 (N.D. Cal.). Defended Philips & Lite-On Digital Corporation in large multidistrict litigation alleging ODD suppliers conspired to fix prices and rig bids to major technology companies.
  • In re Wholesale Grocery Products Antitrust Litigation, MDL No. 2090 (D. Minn.). Successfully defended C&S Wholesale Grocers, Inc., including a trial verdict on all claims in favor of client.
  • Milwaukee Electric Tool Corporation and affiliated entities - received dismissal of antitrust claims alleging group boycotts and conspiracies involving industry standard setting organizations.
  • In re Online DVD Rental Antitrust Litigation - represented class of DVD renters alleging monopolization and price-fixing claims against major online DVD rental companies.
  • Pilot Travel Centers - Defended major chain of interstate travel centers against antitrust collusion and price-fixing claims.
  • Toronto Dominion Bank - defended against securities claims arising from the failure of Enron.
  • Represented numerous multinational corporations against third-party litigation subpoenas in various federal districts.

  • Representing a global sports league in investigations by DOJ, a State Attorney General and Congress related to membership in the league.
  • Represented leading service company in connection with alleged employee anticompetitive no poach and non-solicit agreements.
  • Represented an engineering company in SEC investigation focused on procurement, sales and government pricing conduct of international joint venture resulting in no action.
  • Represented a company in connection with DOJ criminal investigation into alleged employee anticompetitive no poach agreement resulting in no action.
  • Represented a company in connection with DOJ civil investigation into alleged anticompetitive acquisitions resulting in no action.
  • Represented a medical supply company in a criminal investigation by U.S. Attorney’s Office relating to sales of restricted pharmaceutical products resulting in a declination for the parent company.
  • Represented a multinational company in connection with DOJ civil investigation into standard setting activity resulting in no action.

  • Liberty Media – represented in numerous transactions before DOJ and European Commission, including the acquisitions of MotoGP and Pandora Media.
  • Liberty Latin America – represented in acquisition of AT&T’s Wireless and Wireline Operations in Puerto Rico and the U.S.
  • American Industrial Partners – represented in numerous transactions including in the shipping and chemical industrial sectors.
  • Major life and health insurance company in significant health plan acquisition cleared by DOJ and state insurance regulators without divestitures or other antitrust relief.
  • Halliburton –proposed acquisition of Baker Hughes.
  • National Oilwell Varco –approval of acquisition of Robbins & Myers, Inc.
  • Caterpillar Inc - approval of acquisition of Bucyrus in mining industry by DOJ.
  • Smith International - approval of merger with Schlumberger Ltd in oilfield services industry by DOJ
  • Cameron - approval of acquisition of NATCO in oilfield services industry by DOJ.
  • Schering Plough - approval of acquisition of Organon Biosciences in human and animal health sector by FTC.
