Overview

Amy Jiang provides ongoing representation to corporate clients, including public issuers, private companies and private equity funds. Amy advises clients regarding mergers and acquisitions, securities offerings, Exchange Act reporting, technology transactions, commercial agreements, corporate governance and other general corporate matters.

Amy received her J.D. from the University of Michigan Law School, where she was a Senior Editor of the Michigan Law Review and a member of the Zell Entrepreneurship Clinic. Prior to law school, Amy worked as a management consultant in Houston.

  • Represented Matador Resources Company in $750 million senior notes offering
  • Represented the initial purchasers and dealer manager in $575 million senior secured second lien notes offering and cash tender offer by Summit Midstream Partners, LP
  • Represented Saturn Oil & Gas Inc. in upsized $650 million senior secured second lien notes offering

Mergers & Acquisitions

  • Represented Vitesse Energy, Inc. in its acquisition of Lucero Energy Corp.
  • Represented Acacia Research Corporation in its acquisition of Deflecto Acquisition, Inc., a leading specialty manufacturer of essential products serving the commercial transportation, HVAC and office markets
  • Represented Grain Management in its acquisition of 123Net, Inc., a provider of commercial and residential fiber internet, data center interconnectivity and colocation, and business voice services
  • Represented Novacap and its portfolio company, Stratus Networks, Inc., in the acquisition of the assets of Illinois Fiber Resources Group and Illinois Fiber Ventures, Inc.
