Our corporate group is recognized for its depth of experience, and several of our corporate lawyers have served as general counsel and in-house counsel at publicly traded companies.

As a result of the firm's long-standing position as principal legal counsel to many companies in the energy sector, Baker Botts has played a major role in the restructuring of various parts of that segment of American business. In addition to energy transactions in regions throughout the world, the firm represents numerous technology and media clients in some of the industry's most important and transformative transactions.

The firm's Corporate lawyers handle a full range of corporate, securities and financing matters, including public offerings and private placements of equity and debt for both issuers and underwriters or placement agents. Our Corporate lawyers work with our clients to assist in the design of new securities.

We represent companies of all sizes, and have been especially active in the energy, energy services, energy transportation, telecommunications, media and computer (hardware and software) service industries in recent years. Additionally, we have deep experience in representing industry leaders in complex outsourcing and technology transactions. We also handle a variety of international business transactions on behalf of many domestic and international clients.

Our lawyers also have extensive experience in private equity and venture capital fund transactions and specialized financings in both domestic and international contexts. In addition, we work on complex business restructurings, both in and outside of court-supervised bankruptcy proceedings.

In addition, we regularly represent special committees of the boards of publicly held companies and, together with our trial lawyers, conduct a broad range of internal investigations, including those relating to compliance with the federal securities laws enforced by the Securities and Exchange Commission. We are also experienced in counseling senior executives, boards of directors and their committees in corporate governance matters, including the Sarbanes-Oxley Act of 2002.

UK Coronavirus Job Retention Scheme ("CJRS") - UK Government Support Reduces

Client Updates

On 1 August 2021 the UK government furlough support will further reduce in the wind-down prior to the CJRS ceasing at the end of September 2021. As previously noted in our update of 9 March 2021; UK Budget 2021-Coronavirus Job Retention Scheme and Self-Employed Income Scheme employees on furlough will continue to be entitled to 80% of their capped furlough wage for time spent on furlough. However, from 1 July, employers are required to pay 10% of the capped furlough wage and the UK Government  pays 70% of the capped furlough wage. The reimbursement element reduces again from 1 August to 60%, before the CJRS ends on September 30, 2021. At present, despite lobbying, the government is not minded to extend the CJRS generally or for specific sectors such as travel and entertainment where restrictions have limited the ability to re-open and/or open and operate at full capacity.
