These engagements include primarily:
- Representing special committees of independent board members created to negotiate, analyze and report on the fairness to the public shareholders of a specific business transaction proposed between a company and a controlling shareholder, a director or management
- Representing audit, special litigation and other committees that are investigating and reporting on particular problems or alleged misconduct by company officials or employees
In one recent engagement, we represented the audit committee of Freddie Mac in an internal investigation of whistleblower allegations and certain financial reporting transactions, policies and procedures.
Our corporate and trial lawyers advise numerous special committees of the boards of publicly held companies and conduct a broad range of internal investigations, including investigations relating to the new regulatory requirements in the post–Sarbanes-Oxley environment.
