Nabeel Sarwar

Nabeel is an associate based in the firm’s Dubai office. His practice focuses on domestic and cross-border mergers and acquisitions, complex joint ventures, general corporate matters and advising on structuring options within the UAE. He has over four years of experience working in the Middle East and regularly advises clients in a variety of sectors including food and beverage, technology and energy.

Prior to joining Baker Botts, Nabeel trained, qualified and practiced as an England and Wales solicitor at a Big 4 consulting firm in their legal division before moving to a top tier U.S. law firm in Dubai. Prior to this, Nabeel gained a variety of experience within international and Magic Circle law firms in London and Manchester.

  • Advising a government owned entity in the KSA which is responsible for the KSA’s media sector on the review, negotiation and drafting of a wide array of commercial contracts, including, high-value vendor agreements, influencer appointment agreements, content licensing agreements, IP licensing agreements, media competition agreements, confidentiality agreements, policies and ensuring regular updates on certain documentation is provided to various stakeholders in the business.
  • Advised a KSA based investment management company on its proposed investment into a Cayman fund which has underlying assets in India. My role was to manage and complete the legal due diligence exercise and provide an overview of the fund structure.
  • Advised one of the KSA government’s prominent media arms on three proposed investments, via SAFE instruments, in entities based in the USA, UAE and KSA. My role was to manage and complete a limited legal due diligence exercise on each of the investment entities.
  • Advised a renowned UAE based investment company on a proposed merger transaction (with a value of AED 1 billion) involving the merger between a subsidiary of the investment company and one of the UAE’s largest dairy, juice and poultry companies. My role here was to manage and complete a legal due diligence exercise on one of the entities and assist with the transaction documents.
  • Advising a global aviation services company providing airport ground handling, lounge and hospitality services on a disposal of a significant minority stake in their KSA entity to a KSA based investment company.
  • Advised a leading American aerospace company on its proposed joint venture with a government entity to provide military related services. My role here was to draft the joint venture agreement and assist with the formalities with the ADGM as the host for the JV company.
  • Advised Awj Investments on the closing aspects of its disposal of a majority interest in its food and beverage business to Kitopi.
  • Advised a leading UAE insurance company on a statutory merger with another leading UAE insurance company.
  • Assisted Vertiv in connection with its US$1.8 billion acquisition of a substantial majority stake of E+I Engineering, a leading provider of switchgear, busway and modular power units globally.*
  • Assisting a major cloud kitchen company (which is now a unicorn) on its US$300 million acquisition of a substantial majority stake in two global pizza brands.*
  • Assisting Stagwell, a leading marketing company based in New York, its acquisition of Brand New Galaxy which involved acquisitions in Poland, US, Netherlands and Dubai.*
  • Assisting a prominent royal family member on their US$70 million acquisition of a digital insurance platform company based in UAE, Switzerland and Egypt.*
  • Assisting an international school based out of the United Kingdom with its acquisition of a substantial majority stake in one of the leading schools in the UAE.*
  • Assisting Gulf Marketing Group on its acquisition of Géant’s current UAE retail footprint from Urban Foods by Dubai Holding.*
  • Advising Zaya on its disposal of Zaya Nurai Island to Aldar Properties.*
  • Assisted Aster Pharmacies in connection with its acquisition of a substantial majority stake of Grand Optics and Grand Sunglasses, a leading supplier of glasses and sunglasses with operations across the UAE.*
  • Assisted the Al Futtaim Group on its sale of Royal Sporting House to the Gulf Marketing Group which included reviewing and commenting on the share and asset purchase agreements along with completing the disclosure exercise across 7 jurisdictions.*
