Terence Rozier-Byrd concentrates his practice on the representation of institutional investors, private investment fund sponsors and investment advisers on a variety of transactional matters.
Mr. Rozier-Byrd represents institutional investors, including public and private pension plans, family offices and endowments, in connection with their investments in, and co-investments alongside, private equity funds, venture capital funds and hedge funds. In addition, Mr. Rozier-Byrd represents investors in connection with the negotiation of funds-of-one and managed accounts. Mr. Rozier-Byrd also represents investors on direct venture capital investments and secondary transactions.
Mr. Rozier-Byrd represents fund sponsors in connection with the formation and operation of hedge funds and private equity funds and venture capital funds.
In addition to his transactional practice, Mr. Rozier-Byrd represents investment advisers in connection with legal, regulatory and compliance issues under the Investment Advisers Act of 1940. Mr. Rozier-Byrd also advises a variety of public and private issuers in connection with investment company status issues under the Investment Company Act of 1940.
Mr. Rozier-Byrd also serves as Hiring Partner for the New York office.
Prior to attending law school, Mr. Rozier-Byrd worked as an equity research assistant at Salomon Smith Barney in New York.
