Kanwal Majeed

Kanwal's practice focuses on the representation of public and private entities in cross border transactions. Prior to joining Baker Botts, Kanwal worked in the Washington D.C. and London offices of an international law firm and a City-based law firm on various financings for LNG, energy and infrastructure projects.

Kanwal has represented commercial banks, institutional lenders, borrowers, sponsors, issuers and agents on multiple complex corporate financings, acquisition financings and project financings in the United States, Latin America, Europe and Africa with a focus on the energy sector.

• Represented funds managed by Ares Management Corporation's Infrastructure Debt strategy in connection with the financing of an additional GBP 156 million debt investment to UK alternative network Brsk Limited.
• Represented a subsidiary of Sunnova Energy International Inc. with respect to the amendment, restatement and upsizing of an existing revolving warehouse credit facility for a residential solar loan agreement for an aggregate commitment amount of USD 875 million and an uncommitted maximum facility amount of USD 1 billion.
• Represented the Purchasers in connection with the refinancing of a tranche of EUR 125 million notes issued by a wireless communications infrastructure provider.
• Represented the purchasers on the financing of a private acquisition of a publicly listed technology company.*
• Represented the sponsors in connection with the financing of the acquisition of an emergency services business, which involved a multi-jurisdictional security package in Europe and Africa.*
• Represented the purchaser in connection with the financing of its acquisition of a district heating business in the UK.*
• Represented the noteholders in connection with the EUR 370 million notes issuance by a Spanish issuer.*
• Represented the sponsors in connection with the development and USD 1.6 billion financing of a water desalination project in South America.*
• Represented the lenders in connection with a USD 310 million export credit facility, which involved a multi-jurisdictional security package in North America and Europe.*
• Represented the senior and junior lenders in connection with the SEK 14.4 billion green senior and green junior acquisition financing for a Scandinavian district heating provider.*
• Represented the sellers in connection with various natural gas sale and purchase agreements in Central Asia, Japan and the Middle East.*
• Represented a sponsor in connection with the development of a carbon capture, utilisation and storage project.*
• Represented the lenders in connection with various project level and corporate financings aggregating in excess of USD 12.8 billion for a US LNG exporter.*
• Represented the purchasers in connection with separate private placements of additional senior secured notes aggregating approximately USD 1.2 billion issued under Section 4(a)(2) in connection with the development and construction of an LNG project in Texas.*
• Represented the sponsor in connection with the financing of the expansion of a geothermal plant in Africa.*
• Represented the lenders in connection with the financing of the development, construction and operation of a one million tons per annum ethylene export facility in Texas.*
• Represented the lenders in connection with the USD 1 billion financing of a 674MW gas-fired power project in Massachusetts.*
• Represented the lenders in connection with the financing for the acquisition of a portfolio of gas-fired power plants in New England.*
• Represented a Canadian sponsor in connection with its corporate restructuring for the sale of its portfolio of wind and solar projects in the United States.*
