Baker Botts Advises Halliburton in $1.0 Billion Senior Notes Offering and Concurrent Cash Tender Offers


On February 19, 2020, Halliburton Company (NYSE: HAL) (“Halliburton”) announced the pricing of its public offering of $1.0 billion aggregate principal amount of 2.92% Senior Notes due 2030.

Halliburton intends to use the net proceeds from the senior notes offering, together with cash on hand, to finance concurrent cash tender offers, which commenced on February 19, 2019, to purchase up to $1.5 billion aggregate principal amount of certain series of its senior notes.

The senior notes offering is expected to close on March 3, 2020, and the cash tender offers are scheduled to expire on March 17, 2020.

The lead underwriters for the senior notes offering are J.P. Morgan Securities LLC, Citigroup Global Markets Inc., HSBC Securities (USA) Inc. and Mizuho Securities USA LLC. The lead dealer managers for the cash tender offers are BofA Securities, Inc., Deutsche Bank Securities Inc., J.P. Morgan Securities LLC and TD Securities (USA) LLC.
