The pace of shareholder activism in 2018 continues to be robust. In terms of new activist campaigns initiated, the first and second quarters of 2018 were the two most active quarters ever, with 145 campaigns launched against 136 companies by 104 distinct activist investors. Although activist demands are diverse, requesting Board representation and urging some form of M&A have remained the most common objectives in 2018. Companies of all sizes, in all sectors and in all jurisdictions are fair game for today’s activist investor, and any company in the activist crosshairs must devote significant time, attention and resources to defending itself irrespective of how accurate the activist’s criticisms are. Companies that proactively prepare for possible activism routinely achieve more favorable outcomes than those that do not.
