Overview

Kevin Chiu is a senior associate in the Financial Restructuring group of Baker Botts. His practice spans all aspects of corporate restructurings, distressed acquisitions, bankruptcy litigation, liability management, and stakeholder recoveries.  Kevin advises both public and private clients on domestic and cross-border insolvency issues and regularly represents debtors, creditors, lenders, committees, strategic bidders, and other interested parties in a variety of matters and transactions. Kevin strives to maximize value for his clients by helping them navigate through complex insolvency-related matters and sophisticated commercial transactions.

Kevin currently serves on the Employment Committee for the Dallas office and is chair of the firm’s Julius Dorsey Committee, which works closely with Julius Dorsey Elementary Leadership Academy (Dallas ISD) as a community partner and source of volunteers for many of the institution’s academic programs.

Before joining Baker Botts, Kevin served in the Division of Corporation Finance at the U.S. Securities and Exchange Commission in Washington, D.C., where he reviewed and issued comments on Exchange Act filings and worked with SEC staff attorneys on business combination and change-of-control transaction issues, including proxy contests and beneficial ownership reporting.

Prior to his legal career, Kevin was a senior consultant at Deloitte where he provided forensic accounting, corporate investigation and valuation services to his clients.

Company-Side Debtor Representations

  • TPC Group, Inc. and its affiliates, a leading U.S. chemical processing company, in their chapter 11 restructuring of approximately $1.3 billion in funded debt obligations and mass tort liabilities, in the United States Bankruptcy Court for the District of Delaware
  • Griddy Energy LLC, a retail electric provider, in its chapter 11 liquidation following Winter Storm Uri,in the United States Bankruptcy Court for the Southern District of Texas
  • Bristow Group Inc. and its affiliates, a leading, publicly traded industrial aviation services provider, in their chapter 11 restructuring of approximately $1.5 billion of funded debt obligations, in the United States Bankruptcy Court for the Southern District of Texas

Distressed Mergers and Acquisitions

  • Avenue Capital Group and Middle River Power, an independent, private equity sponsored power producer and asset management platform, in connection with their acquisition of two Chicago-area natural gas power generation facilities in the chapter 11 cases of Lincoln Power, L.L.C. and its affiliates., in the United States Bankruptcy Court for the District of Delaware
  • Bidder in the chapter 11 cases of Polaris Operating, LLC, a privately held independent oil and gas company focused on developing natural gas liquid properties in the Texas panhandle, in the United States Bankruptcy Court for the Southern District of Texas
  • Stalking Horse Bidder in the chapter 11 of Perkins & Marie Callender’s LLC, a family-dining chain with operations in more than 400 locations nationwide, in the United States Bankruptcy Court for the District of Delaware

  • Official Committee of Unsecured Creditors of Southland Royalty, a private equity sponsored E&P company with interests in over 8,000 wells throughout Wyoming, New Mexico, and Colorado, in the United States Bankruptcy Court for the District of Delaware.
  • Non-U.S. company in termination of agreements with Vice Media and negotiation of resolution of claims with Vice Media and its secured lenders in chapter 11 cases in the United States Bankruptcy Court for the Southern District of New York
  • Major E&P company, in opposing Fieldwood Energy's abandonment of certain of its own offshore Gulf of Mexico P&A and decommissioning obligations in its chapter 11 cases in the United States Bankruptcy Court for the Southern District of Texas.
