Deal Description: On August 29, 2024, Edgewater Midstream Pasadena LLC (“Edgewater”), a wholly-owned subsidiary of Edgewater Midstream LLC, entered into a definitive agreement to acquire the Sinco pipeline system and Colex terminal in Texas from certain subsidiaries of Shell USA, Inc. (“Shell”). Edgewater is acquiring the Sinco pipeline system and the Colex East and Colex West terminals from Shell for an undisclosed purchase price (the “Acquisition”). Subject to regulatory approvals, the Acquisition is expected to close in the fourth quarter of 2024. Edgewater is a portfolio company of EnCap Flatrock Midstream.
