The construction arrangements for any project must interrelate carefully with the project’s other arrangements and fit within the overall risk profile of the owner and the project’s lenders to ensure that the project is delivered on time and within budget. Baker Botts lawyers are trained to anticipate issues, identify risks and solve problems in both project development and project finance contexts, so that the project agreements-including engineering, procurement and construction (“EPC”) contracts and similar and related contracts-properly allocate risks.

Baker Botts lawyers have an active practice in structuring, drafting and negotiating a broad array of EPC contracts and similar and related contracts in a wide variety of projects.

Our experience and current market knowledge enable us to provide solutions and give our clients contractual protection in the context of the specific project. This experience has been built upon a broad base of transactions involving the development and financing of capital-intensive projects throughout the world on behalf of sponsors, developers, construction contractors, equipment suppliers, lenders and governmental agencies.

Much of the firm’s EPC know-how has been developed in greenfield projects and project finance and other structured finance transactions. In these deals, our lawyers work closely with clients and other parties to structure and negotiate EPC arrangements that meet the competing requirements of owners, contractors, lenders and other project participants.

"Profound industry knowledge brought to bear on deals in the construction and energy sectors."

Because of Baker Botts’ extensive history in energy and natural resources, our lawyers understand and are sensitive to the issues that affect the bottom line for companies in this sector. The additional structural and documentation requirements in the world of project and structured finance demand a high level of experience and creativity on the part of lawyers handling EPC matters.
