Bobby Phillpott's practice focuses on advising clients on all areas of business taxation, with particular emphasis on tax planning of mergers and acquisitions, tax-free reorganizations, spin-offs and divestitures, joint ventures, restructurings, and equity and debt offerings, as well as the formation and operation of corporations, partnerships, and limited liability companies and certain tax controversy matters. He is a member of the Baker Botts Oil & Gas M&A Team.

  • Represented IFM Global Infrastructure Fund in acquisition of Buckeye Partners, L.P., a publicly traded limited partnership, in an all cash transaction valued at $10.3 billion enterprise value
  • Represented a private equity backed pipeline developer in the development, joint venture planning and eventual sale of a $1.2 billion 177-mile natural gas pipeline in the Marcellus region involving a consortium of public company and private equity backed investors
  • Represented Moda Midstream, LLC in its acquisition of Oxy Ingleside Energy Center Terminal from Occidental Petroleum, valued at $2.6 billion
  • Represented Inrock Drilling Systems, Inc. in its sale of horizontal directional drilling tools company to Sandvik AB (STO: SAND)

  • Represented private equity funds in buy-side and sell-side domestic and international merger and acquisition transactions, including in the commercial food preparation, energy, energy services, food service, logistics, manufacturing, restaurant, retail, and wholesale industries
  • Represented publicly traded master limited partnerships and sponsors in drop downs, tax-free mergers, PIPE offerings, spinoffs, and other transactions
