Our corporate and finance lawyers handle a full range of mergers and acquisitions (M&A), securities, joint venture, and financing matters for a diverse set of clients, ranging from publicly-traded Fortune 500 companies to start-ups looking for their first round of capital and everything in between. In the energy industry, our team has knowledge regarding M&A, MLPs, YieldCos, Up-Cs, upstream and midstream joint ventures, and the transactions involving shale formations and other onshore and offshore basins located around the United States. Our technology lawyers work in tandem with our intellectual property group to counsel clients on M&A and financing transactions, as well as agreements related to technology transactions, cybersecurity, joint ventures, and commercialization. In the life sciences, we have represented pharmaceutical, biotechnology, medical device, and software companies from the point at which they were mere ideas through their IPO or sale. Our finance attorneys regularly advise on derivatives, aircraft finance, real estate finance, structured finance, and insolvency. Since 2012 our Austin-based corporate team has led more than 20 public equity and debt offerings (including representation of the issuer in six IPOs) totaling approximately $7 billion in proceeds, M&A transactions and joint development projects totaling over $10 billion in value, private equity and venture capital financings totaling over $5 billion in value, and aircraft finance transactions totaling nearly $1 billion.
Our environmental lawyers provide a broad and deep level of experience in the environmental and natural resource arenas. Our clients trust us with complex and comprehensive environmental matters across all media (air, waste, water quality, and water supply), and under every major environmental statute and regulatory program. We practice extensively before the Texas Commission on Environmental Quality and the Railroad Commission of Texas and other state agencies headquartered in Austin, as well before the Environmental Protection Agency and other federal agencies. Our team engages in strategic permitting, regulatory counseling, and rulemaking and legislative advocacy. In addition, we help clients resolve administrative, civil, and criminal enforcements, proactively engage in crisis prevention and management and spill response, and litigate governmental and citizen suits under environmental statutes. We also counsel our clients regarding contaminated sites and manage environmental aspects of a broad array of business transactions.

We have extensive experience in patent and trademark prosecution, patent litigation in federal district court and the International Trade Commission, post-grant proceedings at the Patent & Trademark Office, patent mining and portfolio management, and technology licensing. Working closely with our corporate and finance lawyers, our tax lawyers plan mergers, acquisitions, reorganizations, and joint ventures to permit our clients to achieve their business objectives in the most tax-efficient manner. We regularly advise publicly traded partnerships and their sponsors on formation issues, initial public offerings, dropdown transactions, qualifying income planning, and follow-on offerings, and we counsel oil and gas, energy, and utility companies on planning and effecting mergers and acquisitions and utilizing alternative energy tax incentives, including production and incentive tax credits and grants.
