Summary
Mr. Anekwe's practice covers a broad range of international and domestic corporate and commercial transactions, including banking and finance (to include Shari'a compliant structures), asset securitization, deal structuring, company formation, corporate governance, shareholder arrangements, joint ventures, mergers and acquisitions, re-engineering and workout and defense contracting. He has represented and advised clients in such diverse areas as banking, energy, healthcare, insurance, oilfield services, construction, technology transfer, hospital information systems, dispute resolution and federal legislation.
In international matters, Mr. Anekwe has represented clients confronting legal issues in various countries including Saudi Arabia, United Arab Emirates, Bahrain, Egypt, Canada, Ukraine, Nigeria and the United Kingdom.
Representative Engagements
- International Bank - advised an international bank (as lead arranger) on a US$225 million dual currency murabaha refinancing of a Saudi petrochemical company
- International Bank - advised a Saudi-based international bank on a US$100 million Ijara/Tawarrug financing of a Saudi auto enterprise
- Saudi Investor Group - advised on a US$35 million acquisition of 51% of Saudi-based international petrochemical company
- Sovereign Wealth Fund (UAE) – advised on corporate governance and related matters in connection with a $105 million equity investment in a prominent oilfield services company in Iraq
- Wentworth Resources Ltd. – co-counsel in connection with reverse take-over bid to acquire oil and gas assets of Artumas Group Inc in Mozambique and Tanzania
- Odfjell Well Services/ Odfjell Drilling – counsel on various engagements related to deal structuring, company formation, workouts, dispute resolution, joint ventures and related activities arising from their interests in Saudi Arabia, UAE and Ukraine
- RMD Kwikform Middle East – advised on transfer of all business, assets and personnel from A.K. Almoayed Group WLL to RMD Kwikform (Almoayed) Bahrain WLL in Bahrain
- MEP company – advised on deal structure, corporate formation and corporate governance in connection with joint operations with a prominent local contractor in Saudi Arabia
- Global US-Based Defense Contractor – advised on dispute resolution in connection with legal dispute with UAE government entity
- UAE Ministry – advised on and assisted in drafting comprehensive federal health insurance law for United Arab Emirates (with Hybrid Health Solutions & PricewaterhouseCoopers)
- Abu Dhabi Health Services Authority (SEHA) – advised on transfer of all business, assets and personnel of Ambulatory Health Services to SEHA from the Health Authority of Abu Dhabi
- Abu Dhabi Health Services Authority – counsel in connection with comprehensive outsourcing agreements with Cerner Corporation, Dell Perot Systems and Phillips Healthcare Informatics for hospital information system
- Abu Dhabi Health Services Authority – advised on partnership structure and agreement with Gulf Medical University in establishing an extern/intern program at Al Mafraq Hospital and with UAE dental university to establish Al Mafraq Dental Center as a training facility.
- Abu Dhabi Health Services Authority - advised on various commercial transactions, public tenders, privatization initiatives and related commercial agreements transactions
- Investor Group – counsel to an investor group consisting of various large insurance companies in connection with the private placement of $500 million in aggregate principal amount of the Fixed and Floating Rate Senior Unsecured Notes issued by a Delaware consumer credit corporation
- Investor Group – counsel to an investor group consisting of various large insurance companies in connection with the Private Placement of $150 million in aggregate principal amount of the Fixed and Floating Rate Senior Unsecured Notes issued by a Pennsylvania utilities servicing corporation
- GE Capital Corporation – agent's counsel in a syndicated Asset-Based Loan financing of $43.5 million in aggregate principal amount of the Senior Secured Fixed and Floating Rate Notes issued by a nationwide facilities branding corporation headquartered located in Illinois
- GE Commercial Finance – counsel in connection with its participation in syndicated $500 million syndicated financing of a global management and technology consulting company
- Great West Life Insurance Company – counsel in connection with project financing relating to an Energy Savings Performance Contract between Siemens Building Technologies, Inc. and the United States Department of the Air Force
- Investor Group – counsel to an investor group consisting of various large insurance companies and institutional investors in private placement of $125 million in aggregate principal amount of the Floating Rate Senior Secured Notes issued by Kramer Junction Solar Funding, LLC backed by certain projects assets and revenues of Florida Power & Light Company
- Principal Life Insurance Company – counsel in connection with its registration and shelf take-down of its $4 billion secured medium-term notes pursuant to its Principal® Life CoreNotessm program
- Delaware Trust Company as Trustee – counsel in connection with the Trust's issuance of its $100 million Rule 144A/Regulation S Global Certificates
- Institutional Investors – special counsel representing various institutional investors (including insurance companies, banks, capital companies, funds and other financial institutions) and corporate issuers in connection with corporate finance and both direct and private placement of corporate securities in numerous syndicated and un-syndicated large-cap and middle market transactions
