Deal Description: April 26, 2019 – WorleyParsons Ltd. (ASX: WOR) (“WorleyParsons”) completed its previously announced acquisition of the energy, chemicals and resources division of Jacobs Engineering Group Inc. (NYSE: JEC) (“Jacobs”) for $3.2 billion, consisting of $2.6 billion in cash, subject to adjustments for changes in working capital and certain other items, plus ordinary shares of WorleyParsons equal to $600 million. As previously announced, at closing, Jacobs became the holder of approximately 11.1% of the combined WorleyParsons.
