Concentration Employee benefits and executive compensation, retiree benefits funding, management compensation, retention and severance, employee benefits issues in mergers and acquisitions, benefits-related labor relations issues, benefits-related bankruptcy issues, proceedings before government agencies with respect to benefits and compensation matters and legislative efforts with respect to benefits and executive compensation matters, litigation involving employee benefits matters, design and structure of financial products and ideas for employee benefits plans and programs Summary Bruce Pingree has extensive tax and employee benefits experience, and he advises clients with respect to all types of executive compensation programs and employee benefits, including qualified and nonqualified retirement, profit sharing, stock bonus, 401(k) and employee stock ownership (ESOP) plans. He also works with welfare plans, fringe benefits and perquisites. Mr. Pingree represents corporations and executives in connection with executive, board and management compensation issues, including all types of stock and cash compensation and deferral programs and golden parachute arrangements. He works with client plan sponsors and plan administrators on fiduciary, tax, securities, trust and corporate law issues relating to benefits and compensation. He also handles the employee benefits issues involved in mergers, acquisitions, dispositions and leveraged buyouts and works on ESOP-based transactions from plan sponsor, lender, fiduciary and plan administrator perspectives. Mr. Pingree counsels employers in connection with employee benefits aspects of labor relations, including in labor negotiations and disputes. He also represents client plan sponsors and plan administrators or fiduciaries in proceedings before the Internal Revenue Service, the United States Department of the Treasury and Department of Labor, the Pension Benefit Guaranty Corporation, the Equal Employment Opportunity Commission, the Securities and Exchange Commission and state regulatory authorities.Along with his experience before regulatory agencies, Mr. Pingree represents plan sponsors in legislative efforts before members and committees of the United States Congress. He frequently advises employers and fiduciaries in employee benefit litigation matters. Mr. Pingree has addressed over 100 organizations with respect to employee benefits and executive compensation.Representative Engagements - American Airlines, Inc. – ongoing representation with respect to benefits and transactional benefits issues, such as in the acquisition of substantially all the assets of Trans World Airlines through TWA Airlines LLC
- U.S. Trust of California, N.A. – representation in employee stock ownership plan transactions
- New England Life Insurance Company – risk analysis of competing insurance-related benefit programs to be offered to small businesses
- Bankers Trust Company (now Deutsche Bank) – development of special funding programs for large company retiree medical funding trusts
- Major mining company – development of special "golden parachute" and executive separation arrangements
