Eric Swanson represents public and private businesses in a broad range of corporate and securities matters. He represents issuers and investment banking firms in securities offerings, including initial public offerings and shelf registrations.

Mr. Swanson also counsels companies in mergers and acquisitions, Exchange Act reporting and general corporate and partnership matters.

  • Edge Petroleum Corporation – $138 million public offering of common stock and $138 million public offering of convertible perpetual preferred stock
  • Lyondell Chemical Company – multiple tender offers and consent solicitations for an aggregate of approximately $1.6 billion of notes
  • Exterran Holdings, Inc. – tender offer and consent solicitation for $550 million of notes in connection with the stock-for-stock merger of equals (approximately $5 billion) between Universal Compression Holdings, Inc. and Hanover Compressor Company
  • Halliburton Company – $3 billion exchange offer split-off of its 81 percent interest in KBR, Inc.
