Scott M. Wornow to Lead Corporate Practice in Silicon Valley for Baker Botts L.L.P.
New Partner Extends Reach of Corporate Department to West Coast in Firm's Growing Palo Alto Office
HOUSTON, March 2, 2009 -- Scott M. Wornow, who has built an extensive corporate legal practice representing clients on technology, capital markets, securities and merger and acquisition matters, joined Baker Botts L.L.P. today as a partner in the firm's Corporate department.
Wornow will be based in Palo Alto, California, extending Baker Botts' global corporate practice to Silicon Valley and the West Coast. The firm opened its Palo Alto office in May 2008 with an initial focus on intellectual property prosecution and litigation. The firm represents some of the world's leading technology companies in high-stakes IP litigation. Baker Botts plans to establish a significant corporate presence in one of the world's leading technology regions.
"Scott strengthens our global corporate practice by giving us a West Coast platform from which we will be better positioned to support our clients around the world," said Baker Botts Managing Partner Walt Smith. "With Scott working out of our Palo Alto office, we will have an opportunity to increase our traction in an important market for us. His broad range of experience, clients and contacts provides us with an additional resource across a wide spectrum of issues and venues."
In his practice, Wornow counsels public and private companies on venture financings, capital markets transactions, mergers and acquisitions, technology licensing, IP monetization programs, complex accounting issues and international ventures. He also has represented issuers and underwriters in high-yield debt offerings and equity financings, as well as Fortune 100 companies in mergers and acquisitions.
Wornow has more than 20 years of experience in private practice, both in New York and the Silicon Valley. Prior to joining Baker Botts, Wornow was a partner at Goodwin Procter in the Silicon Valley and at Paul, Hastings in New York. He also served as executive vice president for legal and business affairs for interactive TV company OpenTV Corp., and as General Counsel and Chief Restructuring Officer at pioneering wireless company OmniSky Corp. He also helped found several technology companies.
"Scott's knowledge of the high-tech industry and the complex issues that confront companies every day in our digital age, and his deep experience dealing with these issues throughout his career, enable him to provide thoughtful and comprehensive counsel to our clients," said David Kirkland, the firm's Corporate Department chair.
Wornow said he is excited with the opportunity to help extend the Baker Botts platform to the Silicon Valley.
"The chance to leverage one of the nation's leading IP practices, the world's premier energy practice, and a truly global reputation for service and quality offers the firm a chance to build a pre-eminent practice in the Valley with unparalleled global reach and expertise," he added.
Wornow earned his law degree (cum laude) from Harvard Law School. He earned a B.A. and M.A. in law (first class honors) from Cambridge University, Downing College, as well as an undergraduate degree (summa cum laude) from the University of Virginia.
