Government to Drop Charges Against Former Medical Manager CEO Michael A. Singer

WASHINGTON, D.C., January 13, 2010 -- The Department of Justice and the United States Attorney's Office for the District of South Carolina have agreed to dismiss pending fraud conspiracy charges against former Medical Manager Corp. and WebMD executive Michael A. ("Mickey") Singer.

In a Deferred Prosecution Agreement approved today by the federal district court in Charleston, S.C., the government has agreed to drop the charges in six months. Singer has vigorously contested the charges from the outset of the case, and the government now acknowledges that he was not involved in any criminal activity.

Singer has agreed to pay $2.5 million in settlement of any forfeiture actions the government claims it could have pursued. Singer had challenged the legal basis for any potential forfeiture charges in a motion pending with the court.

"This case should never have been brought in the first place," said Singer's lead counsel, Randall J. Turk of the Washington, D.C. office of Baker Botts L.L.P. "The complete dismissal of these charges totally exonerates Mr. Singer of charges relating to conduct that took place as long as 13 years ago, and that he has been forced to defend himself against for almost seven years now."

The charges against Singer relate to transactions ending in 2000 and dating back to 1997, when Singer and others formed Tampa-based Medical Manager Corporation, a subsidiary of WebMd, which marketed software that helped doctors and other healthcare providers convert from paper-based to computer-based offices. The indictment alleged that Singer and other senior officers of the company conspired to violate federal fraud and securities laws through alleged improper accounting practices.
