Concentration Energy and project development, especially upstream oil and gas and hydrocarbon transportation projects
Summary George Goolsby is an energy and project development lawyer with over 35 years of experience in the oil and gas exploration, development, production, gathering and transportation industries.
In recent years, Mr. Goolsby has handled upstream transactional matters, including the acquisition of Gulf of Mexico producing properties by Japanese interests and a major disposition of Marcellus shale assets. He was the firm's project team leader for the Baku-Tbilisi-Ceyhan Main Oil Pipeline Project, and he has also been very actively involved in the South Caucasus Gas Pipeline Project. On the BTC Project, he played a key role in preparing and negotiating the intergovernmental and host government agreements with Azerbaijan, Georgia and Turkey, as well as numerous project agreements relating to business organization, pipeline construction, transportation services and operating arrangements. He currently heads the Firm's legal team in support of the Eastern Caribbean Gas Pipeline Project.
Mr. Goolsby regularly consults with project sponsors and lenders on upstream, pipeline and LNG projects, and has a wide range of regulatory, transactional, trial, drafting, negotiating, and dispute resolution experience representing producers, gatherers, marketers, transporters, and distributors of oil, gas and refined petroleum products both in the United States and abroad.
Representative Engagements
- Major foreign company – acquisition of a significant percentage interest from a major U.S. oil and gas company in the seven block K2 Unit in the federal domain, Gulf of Mexico
- Major energy company – divestiture of over 100,000 net acres of Marcellus shale exploration assets in the Appalachian region
- Major independent oil and gas company – multiple structured transactions with intermediate sized oil and gas companies by which the intermediate gained operating control over developed assets and the two parties shared in the resultant cost savings and efficiencies
- Downstream oil and gas operations – assisted oil and gas producers in Texas and North Dakota in the development of oil and gas gathering facilities and agreements
- Major oil producer – disposition by sale of significant midcontinent crude oil pipeline systems
- Major petrochemical company – advice regarding various petrochemical transportation and regulatory matters
- Eastern Caribbean Gas Pipeline Project – development of gas pipeline project to connect Trinidadian gas supplies to neighboring Barbados, Martinique, Guadeloupe and potentially other Eastern Caribbean island states
- Baku-Tbilisi-Ceyhan Main Oil Export Pipeline Project – transportation of over a million barrels a day of crude oil from the Caspian Sea region to Europe and other markets
- South Caucasus Gas Pipeline Project – transportation and marketing in Georgia and Turkey of natural gas produced in the Caspian Sea region
- Azerbaijan International Operating Company – development of two so-called "early oil" petroleum pipelines bringing Caspian Sea region crude oil to international markets on the Black Sea
- Project sponsors – counsel relating to existing and proposed power projects in South America and Pakistan, floating production and processing facilities in the North Sea, gas and oil pipelines in South America, Mexico, Egypt, and Papua, New Guinea, and an LNG project in Equatorial Guinea
